Terms of Service

Effective date: April 26, 2026

Acceptance

These Terms of Service (“Terms”) form a binding agreement between you and Proctord, Inc. (“Proctord,” “we,” “us”) governing your use of the Proctord platform, including the dashboard at app.proctord.dev, the marketing website at proctord.dev, the Proctord VS Code extension, and any related services (the “Service”). By creating an account, accepting an invite, or using the Service in any other way, you agree to these Terms.

Service description

Proctord provides a coding assessment platform that allows hiring companies to author technical assessments and review candidate submissions, and allows candidates to complete those assessments inside their own VS Code editor. The Service includes sandboxed code execution, plagiarism signals, and analytics.

Acceptable use

You agree not to use the Service to: (a) violate any applicable law; (b) submit code that contains malicious payloads, attempts to break out of the sandbox, attempts to exfiltrate other users’ data, or attempts to access systems you do not own; (c) reverse-engineer the platform other than as expressly permitted by law; (d) submit content that infringes another party’s intellectual property rights; or (e) impersonate any person or misrepresent your affiliation. We may suspend accounts that violate this section without prior notice.

Account

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at security@proctord.dev if you suspect unauthorized access. Hiring company admins are responsible for promptly removing access from departing team members.

Payments

Paid plans are billed monthly in advance, in U.S. dollars, via the payment method on file. Fees are non-refundable except where required by law. We may change pricing on at least 30 days’ notice; price changes take effect at the start of your next billing cycle. Volume-based or enterprise pricing is governed by a separate Order Form, which controls in case of conflict with these Terms.

Termination

You may close your account at any time from the dashboard. We may suspend or terminate accounts that violate these Terms, engage in abuse, or remain inactive for more than 18 months. On termination, we delete or return your data in accordance with our Privacy Policy. Sections that by their nature should survive termination (Acceptable Use, Disclaimer, Limitation of Liability, Governing Law) survive.

Disclaimer

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free, or that plagiarism signals will identify every instance of dishonesty. Hiring decisions are made by humans; the Service supplies information, not verdicts.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCTORD’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID PROCTORD IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES.

Changes

We may update these Terms from time to time. Material changes will be communicated by email to account admins at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms will be litigated exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.
